What part does planning play?

If a piece of land is “SOLD SUBJECT TO PLANNING PERMISSION BEING GRANTED” then the buyer agrees to purchase the site and exchange contracts, but only on the basis that Planning Permission will be granted to develop the site.

This agreement is usually covered by an “OPTION” agreement or Conditional Contract. The buyer will cover the cost of applying for planning permission and will then complete the sale when permission is granted.

Naturally selling land in this way is risky and can be a lengthy process, but its not insurmountable.
